Are you a proactive and strategic legal professional looking for a role that combines intellectual challenge with meaningful collaboration? We're a thoughtfully growing company seeking to add a Corporate Counsel Team Member to our Legal & Compliance Department, where your contributions will directly impact our business and drive innovation.
In this in-office position, you will report directly to our Assistant General Counsel and will work closely with our General Counsel and VP of Product Design, CEO, and Executive Team. Together, you’ll navigate key decisions and help lead initiatives that influence every facet of our organization. From shaping cutting-edge products and services that align with legal standards to supporting critical business and corporate governance efforts, your work will be pivotal to our success.
As a Corporate Counsel Team Member you would be relied upon to:
- Engage across departments, building strong relationships and collaborating with teams across the organization to help craft practical, business-friendly solutions.
- Hone your skills in a progressive environment, addressing diverse legal and regulatory issues.
- Create industry impact, gain in-depth knowledge of our industry, and help shape innovative products and services while managing key relationships with outside counsel and compliance resources.
A successful candidate would be ready to embrace the following responsibilities:
- Support the design, implementation, and operation of our innovative plan and trust products and services in compliance with applicable legal and regulatory frameworks.
- Conduct complex legal research and analysis on a wide variety of topics and issues.
- Draft and review various contracts, company policies and procedures, and participant and plan sponsor communications and fulfillments.
- Provide day-to-day counsel and support to the CEO, Executive Team, and other departments on a wide range of matters including compliance, corporate governance, contracts and business transactions, security and privacy, and relevant regulatory frameworks (including the Internal Revenue Code, HIPAA and HITECH, ERISA and others).
- Collaborate regularly with internal regulatory and legal and compliance teams and outside counsel.
- Develop expertise in the regulatory framework specific to our industry, clients, products, and services (including the Internal Revenue Code, HIPAA and HITECH, and ERISA among others).
- Approach complex corporate, business, and regulatory issues using a pro-business, solution-oriented approach.
- Prioritize and manage multiple projects effectively in a dynamic and fast-paced environment.
A strong candidate would have the following qualifications and skills:
- 3–5 years of experience in a law firm practice or as corporate/in-house counsel.
- JD degree and membership in good standing with a state bar.
- Strong foundation in corporate, transactional, and regulatory issues.
- Exceptional legal research, analysis, writing, and communication abilities.
- Eager learner with a desire to develop industry expertise and fluency in a variety of legal areas relevant to our business.
- Agile, solution-oriented problem solver with a proactive approach.
- Skilled in thinking on their feet and adapting to new challenges.
- Capable of deciphering complex regulations and providing actionable recommendations.
- Thrives in a fast-paced, dynamic environment and demonstrates the ability to think critically, prioritize tasks, and deliver results.
- Focused on creating practical, business-friendly solutions.
- Adept at working collaboratively across teams and engaging effectively with colleagues at all levels.
